Please read these Terms carefully. They contain a binding arbitration agreement and a class action waiver (Section 17), a limitation of our liability (Section 15), and a disclaimer of warranties (Section 14). They affect your legal rights.
These Terms of Service (the “Terms”) are a binding agreement between you and Sun Sand Sound, Inc., doing business as SceneTown (“SceneTown”, “we”, “us”). By creating an account, claiming a pass, or otherwise accessing or using scenetown.com, our apps, our APIs, or any service we operate (together, the “Service”), you accept these Terms and our Privacy Policy, Cookie Notice, Acceptable Use Policy, and DMCA Policy, each of which is part of these Terms. If you do not agree, you must not use the Service. If you use the Service on behalf of a band, label, business, or other organization, you represent that you have authority to bind it, and “you” includes it.
You must be at least 18 years old. The Service is for adults only. We do not knowingly permit anyone under 18 to create an account, claim a pass, or use the Service, and we will terminate any account we believe belongs to a minor. You must also be legally able to enter into a binding contract, not be barred from using the Service under any applicable law, and not be listed on any U.S. government sanctions or denied-party list.
We may require an identity or age verification, through a third-party provider, before you can use some or all of the Service, and we may re-verify at any time. A fee for verification is disclosed before you pay it and is not refundable once the check has been performed. We may refuse, limit, or withdraw access based on the result, at our sole discretion.
One person, one account. You may create and maintain only one account. You may not create an account for anyone else, share an account, or transfer, sell, or lend an account, a handle, or a pass. We may merge, suspend, or delete accounts we believe are duplicates, and any passes, credits, balances, handles, or content on a duplicate account may be forfeited to the extent permitted by law.
You must provide accurate information and keep it current. You are responsible for everything that happens under your account, including anything done with a wallet, passkey, or third-party login connected to it, whether or not you authorized it. Keep your credentials and keys secure and tell us immediately at security@scenetown.com if you believe your account has been compromised. We are not responsible for any loss arising from unauthorized use of your account.
Handles are assigned at our discretion, are not property, and may be reclaimed, reassigned, or suspended, including where a handle impersonates a person or brand or is inactive.
The Service is currently available by invitation only. A founding pass or any other pass we issue is a limited, revocable, non-exclusive, non-transferable licence to access the Service under these Terms. A pass has no cash value, is not property, a security, or an investment, and may not be sold, traded, or transferred. We may cap, modify, revoke, or reissue passes at any time, with or without notice.
Sending invitations. If we let you invite others, you authorize us to send an invitation by email to each person you name, in your name, and you represent that you have a genuine connection with each of them, that each is an adult, and that you have any consent required by law to give us their address. You may not invite yourself, invite in exchange for anything of value, or use invitations for unsolicited marketing. An invitation to a person who already has an account or an invitation is not sent and earns nothing. Invitation quotas, referral credit, and any related badges or rewards are discretionary, may change or end at any time, and create no entitlement.
Attestations. Some passes and records are attested on a public blockchain. Those records are public, permanent, and outside our control once written; we cannot edit or delete them, and we are not responsible for what a public network does with them.
The Service is in an early, evolving phase. We may add, change, limit, suspend, or discontinue any part of the Service, any feature, any pricing, or the Service as a whole at any time, with or without notice, and without liability to you. We do not promise that the Service, any feature, or any content will remain available, that data will be retained, or that the Service will be uninterrupted, secure, or error-free.
You keep what you own. We claim no ownership of the music, recordings, video, images, text, or other material you upload or create on the Service (“Your Content”).
The licence you give us. So that we can run the Service, you grant SceneTown a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers), and transferable (in connection with Section 20) licence to host, store, copy, transcode, watermark, fingerprint, index, preview, excerpt, display, perform, stream, distribute, and otherwise use Your Content as needed to provide, secure, maintain, improve, and promote the Service and the features you use, in any media or format now known or later developed. This licence continues for as long as Your Content is on the Service and for a reasonable period afterward for backups, legal holds, and completing transactions already in progress. Content you have sold, licensed, or delivered to another member remains licensed to that member under the terms of that transaction after you remove it.
What you promise about it. You represent and warrant that you own or hold every right, licence, consent, and permission needed for Your Content and for the use you make of it on the Service, including rights of every co-writer, performer, producer, sample owner, and featured artist; that any revenue split you declare is accurate and authorized by everyone in it; that Your Content and our use of it under this licence do not infringe or violate any third-party right or any law; and that you are responsible for any registration, reporting, or payment owed to any rights organization, collecting society, union, or licensor. SceneTown is not a party to your agreements with any of them and pays nothing on your behalf unless a feature says so in writing.
Provenance and AI declarations. Where the Service asks how a piece of content was made, including whether and how AI was involved, you must answer accurately and completely. We rely on your declarations, we may record and display them, and a false or missing declaration is a material breach.
Our discretion. We may review, refuse, remove, restrict, or reformat any content at any time for any reason, with or without notice, and we have no obligation to monitor content or to store or return it. We may watermark or fingerprint content to protect it and to enforce these Terms.
Payments. Payments are processed by Stripe or another processor we choose. By paying, you agree to the processor’s terms and authorize the charges. Prices, fees, and taxes are shown before you pay; you are responsible for any taxes, duties, or network fees not collected by us.
Subscriptions. A subscription renews automatically at the then-current price for the same period until you cancel. You can cancel at any time from your Membership page, where the billing portal lets you cancel in as few steps as it took to subscribe; cancellation takes effect at the end of the current period, and periods already paid are not refunded. We may change subscription prices with at least 30 days’ notice; continued use after the change is acceptance.
Credits and drafts. Credits, AI credits, MXR 3000 drafts, and similar balances are a limited licence to use features, not money or property. They have no cash value, cannot be exchanged for money, may expire, and may be revoked or adjusted by us, including on termination. Unused purchased credits may be refundable within 14 days of purchase where we say so at checkout; used credits are not.
Tickets and purchases from members. When you buy a ticket, a product, a license, or a service from another member, that member is the seller and is responsible for the event, item, or service and for its own refund terms. SceneTown provides the platform and, where stated, payment facilitation; we are not a party to the sale and make no promise about it. Refunds are governed by the seller’s terms shown at purchase and by applicable law.
Payouts. Any amount we pay you is subject to successful verification, the payout schedule, minimum thresholds, holds, and our right to withhold, offset, reverse, or claw back amounts for refunds, chargebacks, disputes, suspected fraud, rights claims, breaches of these Terms, or amounts you owe us. Revenue shares and rates are as disclosed in the feature at the time and may change prospectively. You are responsible for your own taxes on payouts.
All sales are final except as required by law or as expressly stated at the time of purchase. Chargebacks initiated without first contacting us may result in suspension.
Organizers, sellers, hosts, teachers, and other professionals on the Service act on their own behalf. You are solely responsible for what you offer, sell, host, or promise, for any permits, licences, insurance, taxes, or consumer-law obligations that attach to it, and for your customers and guests. SceneTown does not endorse, verify, or guarantee any member, event, listing, or service, and any verification badge we show reflects only a check we ran at a point in time.
You may not, and may not help anyone else to: break any law or these Terms or the Acceptable Use Policy; infringe anyone’s rights; upload unlawful, defamatory, harassing, hateful, sexually exploitative, or otherwise harmful content; impersonate any person or entity or misrepresent an affiliation; create or use more than one account, or an account for someone else; scrape, crawl, harvest, or bulk-download any part of the Service or any member data; access the Service by any automated means other than our published APIs under their terms; probe, disrupt, overload, or bypass any security, rate, watermark, provenance, age, or access control; reverse engineer any part of the Service except where the law forbids that restriction; use the Service to send spam or unsolicited messages; use any output of the Service to train a machine-learning model without our written consent; or use the Service to compete with us by building a substitute service from our data.
Organizer communications. If you use SceneTown to email your event guests, you may contact only people with a genuine connection to your event (such as ticket holders and invitees), your subject lines and sender identity must be accurate, and your messages must relate to the event. You may not use guest communications for unrelated marketing, resell or export guest contact data, or circumvent unsubscribe, suppression, or rate controls. You remain responsible for everything you send.
MXR 3000. You may not use copyrighted material without permission from the rights holder, and you may not use streaming-service URLs in violation of those services’ terms.
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act as described in our DMCA Policy, which names our designated agent. We terminate the accounts of repeat infringers and may remove content on a first notice at our discretion. Submitting a false notice or counter-notice may make you liable for damages.
The Service relies on third parties, including payment processors, identity and age verification providers, login and wallet providers, email delivery, hosting, and public blockchain networks. We do not control them and are not responsible for their acts, omissions, availability, fees, or terms, which may apply to you directly. If you connect a wallet, you alone control and are responsible for its keys and its use. Transactions on a public network are irreversible and may carry network fees that we do not set or refund.
If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation to you.
By us. We may suspend, restrict, or terminate your access to all or part of the Service, remove content, revoke passes, and close your account at any time, for any reason or no reason, with or without notice, at our sole discretion, including where we believe you have breached these Terms, created risk or legal exposure for us, or where we discontinue the Service.
By you. You may stop using the Service and request deletion of your account at any time through your settings or as described at /data-rights.
Effect. On termination, your licence to use the Service ends; passes, credits, drafts, handles, and unpaid discretionary balances may be forfeited to the extent permitted by law; we may delete Your Content, subject to backups and legal holds; and we may retain and disclose information as required by law or as described in the Privacy Policy. Sections 6 (as to the surviving licence), 7, 12, and 14 through 20 survive termination.
The Service, and all content, passes, credits, verifications, attestations, payouts, and features, are provided “as is” and “as available”, with all faults, and without warranty of any kind. To the fullest extent permitted by law, SceneTown and its officers, directors, employees, contractors, agents, licensors, and suppliers disclaim all warranties, express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will meet your needs, be uninterrupted, timely, secure, or error-free, that defects will be corrected, that content or data will be preserved, that any verification is accurate or complete, or that you will earn any revenue, reach, or result. No advice or information from us creates a warranty. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
To the fullest extent permitted by law, in no event will SceneTown or its officers, directors, employees, contractors, agents, licensors, or suppliers be liable to you or anyone else for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, content, or opportunity, or for the cost of substitute services, arising out of or relating to these Terms or the Service, however caused and under any theory of liability, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the fullest extent the law allows.
You agree to indemnify, defend, and hold harmless SceneTown and its affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claim, demand, investigation, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees and costs) arising out of or relating to: Your Content and any use of it under the licence you grant; your use of the Service; any event, listing, product, service, or promise you offer to others; any invitation or message you send through the Service; any revenue split, declaration, or verification you provide; your breach of these Terms or any law; your infringement or violation of any third-party right; or any taxes owed on amounts paid to you. We may take over the defence of any matter subject to indemnification, in which case you will cooperate with us, and you may not settle any such matter without our written consent.
Please read this section carefully. It affects your rights.
Talk to us first. Before starting any formal dispute, you agree to send a written notice describing the dispute and the relief you want to legal@scenetown.com and to try in good faith to resolve it with us for 60 days. We will do the same with you.
Binding individual arbitration. If we cannot resolve it, any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including its formation, breach, termination, enforcement, interpretation, or validity, and the scope of this arbitration agreement, will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, rather than in court. The Federal Arbitration Act governs this section. The arbitrator may award the same relief a court could award to the individual party, and judgment on the award may be entered in any court of competent jurisdiction. Arbitration will be conducted by video or telephone, or in the county where you live, at your election.
Class action and jury waiver. You and SceneTown each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action, and each waives any right to a jury trial. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court under Section 18 and not in arbitration.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or to stop unauthorized access or abuse of the Service.
Coordinated filings. If 25 or more similar demands are filed by or with the help of the same or coordinated counsel, they will be batched and resolved in stages, with a first batch of up to 10 chosen by the parties in equal number, and filing fees deferred for the rest until their batch is reached.
Opt-out. You may opt out of this arbitration agreement by emailing legal@scenetown.com with your account email and the words “arbitration opt-out” within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-law rules, except that Section 17 is governed by the Federal Arbitration Act. For any matter not subject to arbitration, you and SceneTown consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware, and waive any objection to that venue. This does not deprive you of any protection of the consumer laws of the place where you live that cannot be waived by contract.
We may change these Terms at any time. We will post the revised Terms with a new “Last updated” date and, for material changes, give notice in the Service or by email where we have an address on file, at least 14 days before the change takes effect where practicable. Your continued use of the Service after the effective date is acceptance of the revised Terms. If you do not agree, you must stop using the Service before the change takes effect. Changes do not apply to a dispute of which we had written notice before the change.
Entire agreement. These Terms, with the policies they incorporate and any feature-specific terms we present to you, are the entire agreement between you and SceneTown about the Service and supersede all prior agreements. Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect. No waiver. Our failure to enforce a provision is not a waiver of it. Assignment. You may not assign or transfer these Terms or your account; we may assign them without restriction, including in a merger, acquisition, or sale of assets. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control. Electronic communications. You consent to receive notices and communications from us electronically, and agree that they satisfy any legal requirement that a communication be in writing. Export and sanctions. You will comply with all applicable export-control and sanctions laws and will not use the Service where prohibited. No third-party beneficiaries. Except as stated in Sections 14 through 16, these Terms create no rights in anyone else. Interpretation. Headings are for convenience; “including” means “including without limitation”; these Terms are in English and any translation is for convenience only.
